The web Platform (www.vivirooms.com) and mobile application (collectively referred to as Platform) are owned and operated by ViviRooms Ecomm Private Limited. Subsequently, this document is an electronic record of the Terms and Conditions (T&C) of the Information Technology Act, 2000 and is published in accordance with Rule 3 (1) of the Information Technology Rules, 2011 which requires publishing the rules and regulations, privacy policy and T&C for usage and/or access of the ViviRooms Platform (which refers to the Website and the app collectively).

The Usage of ViviRooms and its services are governed by the following T&C, the ViviRooms Platform is owned by ViviRooms Ecomm Private Limited with registered offices in 4th Floor, Block B, ASF Center, Plot No. 362-363, Udyog Vihar, Phase-4, GURUGRAM, Gurgaon, Haryana.

From this point onwards the terms “You” or “User” will refer to the natural or legal person who-shall visit or use the ViviRooms Platform. The terms “We”, “Us” and “Our” shall refer to ViviRooms private limited. ViviRooms allows users to browse the Platform without registering on it.

When You use any of our services or tools provided by the ViviRooms Platform You will be bound by the Terms and Conditions listed here and those that are applicable. By Using our Platform You are explicitly agreeing to these Terms and Conditions. We reserve the right at our sole discretion, to change/modify these T&C at any given time. You will need to keep checking the Platform for any changes as we are not bound to inform You prior to changing/modifying the T&C.

The ViviRooms’ Platform are subject to copyright by ViviRooms ecomm private limited, and are protected by the worldwide copyright laws and treaties. By Your Usage of our Platform You are agreeing to be bound by these Terms and Conditions and are implicitly agreeing to comply with the copyright laws around the world, which prevent You from unauthorized copying of the Materials.

You are subject to certain rules, policies, guidelines, T&C where applicable when You use our Platform. Our services and tools are considered a part of the T&C. By accessing, browsing, or using our Platform in any way You are in agreement with the Terms and Conditions where applicable, so please read the Terms and Conditions, and Privacy Policy carefully.

You are not permitted to transmit any chain letters or unsolicited commercial or junk email or any offending material to other Users via our Platform. It will be a violation of the Terms and Conditions to use any information that You obtain from the Web Platform or the App in order to harass, abuse, harm another person, or in order to contact, advertise to, solicit, or sell to another person other than Us without Our explicit consent.
You agree and understand that We have the right to at all times, disclose any information (including but not limited to the Identity of the Users using our Platform ) as necessary in accordance with any law, regulation or valid governmental request. You authorise Us to, by virtue of using our Platform to these T&C to disclose any information about You to law enforcement authorities or other government officials, as we in Our sole discretion find necessary or appropriate.

We reserve the right to but are under no obligation to monitor the Materials posted on the Platform ViviRooms shall have the right to edit or remove any content under Our sole discretion if it violates, or is alleged to violate any applicable law in either spirit or letter of these T&C. However, You are solely responsible for the content of whatever Your post on the Platform or in Your private messages. Your Content does not necessarily reflect the view of ViviRooms. In no event do We assume any responsibility or liability for any of the content posted or for any claims, losses or damages that result from the use of the content or appearance on Our Platform. You have all the necessary rights in and to all Content which You provide and all the information it contains. Your Content shall not violate or infringe any proprietary or other rights of third parties or contain any libellous tortious or otherwise unlawful information.

We do not approve of unauthorised uses by any persons. You might be the victim of hacking or involuntarily have to see inappropriate or offensive Materials posted by some Users who are in violation of the T&C espoused here. It is also possible for others to see and access Your information that You post so please be careful about what You publicly disclose on our Platform. By using our Platform You agree that we will not be responsible for any unauthorised usage of Your personal information that You disclose publicly or share with others on the Platform.

Any changes are effective immediately upon posting to the Platform. Your continued use of the Platform thereafter constitutes Your agreement to all such changed Terms and Conditions. We may, with or without prior notice, terminate any of the rights granted by these Terms and Conditions. You shall comply immediately with any termination or other notice, including, as applicable, by ceasing all use of the Platform.

Unless explicitly stated, no part of the Platform and no Materials may be copied, reproduced, uploaded, posted, republished, publicly displayed, encoded, transmitted, translated or distributed in any form (including but not limited to “mirroring”) to any other computer server, Web Platform or other medium for any purpose such as publication, distribution or for any commercial enterprise without prior written permission from ViviRooms.

Nothing contained in these Terms and Conditions shall be construed as creating any agency, partnership, affiliation, joint venture or other form of joint enterprise between us. Our failure to require Your performance of any provision hereof shall not affect our full right to require such performance at any time thereafter, nor shall our waiver of a breach of any provision hereof be taken or held to be a waiver of the provision itself. In the event that any provision of these Terms and Conditions shall be unenforceable or invalid under any applicable law or be so held by any applicable arbitral award or court decision, such unenforceability or invalidity shall not render these Terms and Conditions unenforceable or invalid as a whole but these Terms and Conditions shall be modified, to the extent possible, by the adjudicating entity to most fully reflect the original intent of the parties as reflected in the original provision. The headings in the Terms and Conditions are for convenience only and shall not be used in its interpretation.

User Related Rules:
Under the Indian Contract Act, 1872, persons who cannot form a legally binding contract and are “Incompetent to contract '' include minors, undischarged insolvent and so on. These persons are not eligible to use the Platform. If You are under the age of 18 You are considered a minor, You cannot and shall not register as a user of the Platform or use the Platform without explicit permission from Your legal guardian or parents. We reserve the right to terminate Your account if it is brought to our attention that You are a minor or person not authorised to use our Platform.

You are responsible for maintaining the anonymity of Your username and Password and all other activities that come under Your username and Password. If You provide untrue, inaccurate, not current or incomplete information, we have the right under reasonable suspicion to terminate, block or suspend Your account and to refuse You access to our Platform, in accordance with the Terms and Conditions. Information, photo, image, chat communication, text, software, data, music, sound, graphics, messages, videos or other Materials transmitted, uploaded, posted, emailed or otherwise made available to us ("User Content "), are entirely Your responsibility and we will not be held responsible, in any manner whatsoever, in connection to the User Content.

Communications:
When You use our Platform or send emails or any other data, information or communication to Us, You are agreeing to, under the understanding that You are communicating with Us through an electronic medium and therefore consent to receive electronic communications from Us periodically as and when required.

Services We Offer:
Membership on the ViviRooms Platform is free. We do not charge any fees for browsing the Platform. ViviRooms may at its sole discretion modify or introduce some or all existing services offered by our Platform.

Blogs:
Individuals who might or might not be employees of ViviRooms may contribute opinions and articles on our Blog Platform at the sole discretion of ViviRooms. You acknowledge and agree that these blogs are the opinions of the individuals writing them and do not represent the official positions of ViviRooms in any manner. ViviRooms retains all rights to these blogs.

You may post reviews or opinions to these blog entries but by doing so you are agreeing to the following: You cannot and shall not display, host, modify, upload, publish, update, transmit or share any information which:

Does not belong to You and You don’t have permission to access;
Is inappropriate, harmful, defamatory, pornographic, blasphemous, libellous, paedophilic, invasion of another individuals privacy, hateful, harassing, ethnically objectionable, racially objectionable, related to or encouraging money laundering or gambling, or otherwise unlawful in any manner, or unlawfully threatening or harassing including but not limited to the “indecent representation of women” as espoused by the Indecent Representation of Women (Prohibition) Act, 1986;
Is false or misleading in any way;
Create liability for Us or cause Us to lose (in whole or part) the services of Our Internet service provider (“ISPs”) or other suppliers;
Impersonates another person;
Infringes on any patent, trademark, copyright or other proprietary rights or third party’s trade secrets or rights of publicity or privacy;
Harms minors in any way;
Upload anything with computer viruses or any other computer codes;
Infringe on any other users access or enjoyment of the Platform;
Is offensive to the online community in any way;
Involves “spamming” or “junk mail”;
Provide instructional information about illegal activities such as making or buying illegal weapons;
Contains any media of any other person (minor or adult);
Try to gain unauthorised access or try to exceed the scope of Your access to the Platform including but not limited to the blogs or any other communities;
Impersonate another person;
Violates the law in anyway;
Any negative, defamatory or denigrating statements or comments about Us or the brand name or domain names used by Us or anyone engaged in any other actions that might tarnish the reputation of ViviRooms.
It is our sole discretion to remove any and all comments/reviews that we view inappropriately under any circumstances;
You shall not use any automatic devices such as “deep-link”, “page scrape”, “spider” or any other programs, algorithms or methodologies or any other similar or equivalent process to access, acquire, copy, or monitor any portion of the ViviRooms Platform;
You shall not hack, password mine, or attempt any other illegal and illegitimate actions that might gain Your unauthorised access;
You shall not scan, test or probe the vulnerability of the ViviRooms Platform nor breach the security of authentication measures in any way;
You shall not use any software, device or routine to interfere with the proper working of the Platform;
You shall not use the Platform for any illegal usage.

Information for Children Under Children's Act.
Use of our Platform is available only to persons who can form a legally binding contract under the Indian Contract Act, 1872. We do not knowingly solicit or collect personal information from children under the age of 18 years. If you have shared any personal information of children under the age of 18 years, you represent that you have the authority to do so and permit us to use the information in accordance with this Privacy Policy.

Usage of Materials:
You may use the Materials on our Platform for downloading, provided that you:

Do not remove any proprietary notice language in all copies of such documents;
Do not make additional warranties or representations relating to such documents;
Make no modifications to the information;

By using our Platform You acknowledge and agree that the Third Party Content is not created or endorsed by ViviRooms. The provision of Third Party Content is for general information purposes only and does not constitute a recommendation or solicitation to purchase or sell any securities or shares or to make any other investment decisions. In addition to this, TPC is not intended to provide legal or investment advice, or provide tax advice. By using the Platform You acknowledge that the TPC provided to You is obtained from believed to be reliable sources, however ViviRooms makes no guarantees as to the accuracy, completeness, timeliness. You agree not to hold ViviRooms or any of its affiliates, or any business offering products or services through the Platform or any provider of the TPC liable for any investment decision other than transaction You may make based on Your interpretation or use of such data, or any liability that may arise due to delays or interruptions in the delivery of the TPC for any reason.

Using TPC might direct You to an external Platform, or Platform maintained by some entity other than ViviRooms. If You decide to use such a Platform it is solely at Your own risk and Your own responsibility to take all protective measures to guard Yourself against viruses or any other destructive elements. ViviRooms takes no responsibility, We make no warranty or representation, and do not endorse any linked WebPlatform or Information appearing thereon, any of the products or services described thereon. We do not sponsor or endorse, or are affiliated or associated with or are legally authorized to use any trademarks, trade names logo or copyright symbol displayed in or accessible through the links, or that any linked Platform is authorized to use any trademark, trade name, logo or copyright symbol of ViviRooms or any of its affiliates or subsidiaries. The linked Platform is not under the control of ViviRooms and ViviRooms is not responsible for any contents on the linked Platform. By virtue of accessing the Platform You acknowledge this fact.

Posting On Web Platform:
While We do not claim ownership of the Materials You post on ViviRooms (including reviews and suggestions) or provide, upload, submit to any section of the Platform (Your Submissions), by posting, inputting, uploading, submitting, providing, Your Submission You grant ViviRooms and its affiliates and necessary subsidiaries and sub-licensees permission to use Your Submissions in the operating of their business, without limitation, the license to right to distribute, transmit, copy, publicly perform, publicly display, reproduce, edit, translate and reformat Your Submissions and to publish Your name with Your Submission and the right to sublicense such rights to any other party.

You acknowledge and agree that You are not entitled to any compensation nor future commercial consideration with respect to the use of Your Submissions by ViviRooms. You may remove Your Submission at any time at Your sole discretion. When You post a Submission You warrant and represent that You own and otherwise control all the rights required under worldwide law for Your Submission as set forth in these T&C including, without limitation all the rights necessary for You to post, provide, input, upload, or submit the Submissions.

Inappropriate Language Policy:
ViviRooms prohibits the use of hateful, sexual or obscene in nature, racist language on public forums.

This policy extends to Your Submissions, Postings, and all other areas of the Platform that are viewable by any User.

Please report any violations of this policy for us to review. If any communication between User on the Platform or email communication between Users contain profanity, or other inappropriate language then please review Our feedback removal policy and submit a request for action/removal.

Privacy:
We cherish the trust You place in us, which is why the protection of Your privacy is of paramount importance to us. We understand that You and Your Personal Information is one of Our most important aspects of our success. ViviRooms reserves the right to correct, change or update information, errors, inaccuracies or omissions at any time (including after an order has been submitted) without prior notice. Please note that such errors, inaccuracies and omissions may also relate to pricing, availability of the product and services.

The products, services and any samples if any, that Platform may provide You, are for personal and/or professional use only. They cannot be and shall not be resold or sold for any/commercial reason.

The Chat Functionality exists to help You with any and all Platform related queries. Any use of this service shall be subject to the following conditions:

The chat service can be suspended at any time by ViviRooms
ViviRooms or its executives are not responsible for any delay caused in attending to or replying to the queries via chat.
ViviRooms might store communications through chat for future reference, to which You will not have access.
You are not permitted to communicate any inappropriate information i.e. threatening, abusive, defamatory, obscene information.
The chat room shall not be used to sell any products, to give suggestions on business opportunities or any other form of solicitation.

Limited License:
By virtue of the fact that you have accessed the Platform, ViviRooms grants you limited, non-exclusive, non-transferable, non-sublicensable license to access, and make personal and non commercial use of the Platform. All rights not expressly granted to You in these Terms and Conditions, are reserved and retained by the Platform and its affiliates.

ViviRooms reserves the right, at any time, without notice, and at its sole discretion, to terminate Your license to use the Platform and to block and prevent Your future access to the Platform.

Termination:
These Terms and Conditions are effective unless and until terminated by either You or ViviRooms.

You may terminate the Terms and Conditions at any time, provided that You discontinue any further use of this Platform. ViviRooms may terminate the Terms and Conditions at any time and may do so without notice, and accordingly deny You access to the Platform, such termination will be without any liability to the Platform.

Upon any termination of the Terms and Conditions by either You or ViviRooms, You must promptly destroy all Materials downloaded or otherwise obtained from this Platform, as well as all copies of such Materials, whether made under the Terms and Conditions or otherwise. Any such termination of the Terms and Conditions shall not cancel Your obligation to pay for the product already ordered from the Platform or affect any liability that may have arisen under the Terms and Conditions .

This Platform, all the Materials and information/content (including but not limited to software) and services, included on or otherwise made available to You through this Platform are provided on “as is” and “as available” basis without any representation or warranties, express or implied except otherwise specified in writing. ViviRooms will not be liable to You in any way or in relation to the Materials of, or use of, or otherwise in connection with, the Platform. ViviRooms does not warrant that this Platform; information, content, Materials, product (including software) or services included on or otherwise made available to You through the Platform; their servers; or electronic communication sent from Us are free of viruses or other harmful components.

Indemnity:
You shall indemnify and hold harmless ViviRooms, its owner, licensee, affiliates, subsidiaries, group companies (as applicable) and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys’ fees, made by any third party or penalty imposed due to or arising out of Your breach of this Terms and Conditions, privacy Policy and other Policies, or Your violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party.

Third Party Infringement Rights
For any kind of loss of data, disclosure and maintenance for it, ViviRooms won't be held responsible.

Limitation of damages:
In no event shall ViviRooms or any of its subsidiaries or affiliates be liable to any entity for any direct, indirect, special, consequential or other damages (including, without limitation, any lost profits, business interruption, loss of information or programs or other data on Your information handling system) that are related to the use of, or the inability to use, the content, Materials, and functions of this Platform or any linked Platform, even if ViviRooms is expressly advised of the possibility of such damages.

The Platform may contain inaccuracies and typographical and clerical errors. ViviRooms expressly disclaims any obligation(s) to update this WebPlatform or any of the Materials on this Platform. ViviRooms does not warrant the accuracy or completeness of the Materials or the reliability of any advice, opinion, statement or other information displayed or distributed through the WebPlatform. You acknowledge that any reliance on any such opinion, advice, statement, memorandum, or information shall be at Your sole risk. ViviRooms reserves the right, in its sole discretion, to correct any errors or omissions in any portion of the WebPlatform. ViviRooms may make any other changes to the Platform, the Materials and the products, programs, services or prices (if any) described in the Platform at any time without notice. This Platform is for informational purposes only and should not be construed as technical advice of any manner.

Applicable Law
Terms and Conditions shall be governed by and interpreted and construed in accordance with the laws of India. The place of jurisdiction shall be exclusively in Gurgaon, Haryana.
